Partnership Agreement

This Agreement outlines the terms and conditions governing participation in the Ant Colony Program, operated by Ant. By registering as a QueenAnt or SoldierAnt, you agree to the following terms:

1. Definitions

1.1. Ant Colony Program: The affiliate and rewards program designed to promote the Ant payment system.

1.2. QueenAnt: Approved influencers responsible for recruiting SoldierAnts.

1.3. SoldierAnt: Ambassadors responsible for onboarding merchants and users to the Ant payment system.

1.4. User: Any individual or merchant onboarded to Ant and actively using the payment system.

1.5. Referral Code: A unique code issued to participants to track referrals and calculate rewards.

1.6. AntCoin: The reward currency used within the Ant ecosystem, convertible to cash.

1.7. Net Revenue: Ant’s transaction processing fees collected from the transactions of referred users and merchants.

2. Participation Requirements

2.1. Eligibility:

• QueenAnts: Must meet Ant’s approval criteria, including minimum engagement and follower requirements.
• SoldierAnts: Must pay the one-time activation fee and register under a QueenAnt.

2.2. All participants must comply with applicable laws in Nigeria and provide accurate information during registration, including a valid bank account.

2.3. Ant reserves the right to approve, reject, or terminate participation at its sole discretion.

3. Responsibilities of Participants

3.1. Promotion and Recruitment:
Participants must actively promote the Ant payment system using referral codes and provided marketing materials.

3.2. Compliance:
Participants are required to:

• Ensure all promotional activities comply with applicable laws and Ant’s guidelines.
• Avoid making false claims or engaging in fraudulent activities.

3.3. Advertisement Material:

• Ant may provide approved marketing materials (e.g., banners, posts, videos).
• Participants must not alter these materials without prior approval.

3.4. Posting Terms:
Participants must only share promotional materials on lawful platforms and ensure content is suitable for their audience.

3.5. Liability:
Participants are solely responsible for ensuring compliance with local laws and regulations in their promotional activities. Ant is not liable for any legal breaches committed by participants.

4. Rewards and Payments

4.1. Reward Structure:

• SoldierAnts: Earn 30% of Ant’s processing fees for payments made by their referrals for 1 year from the date each referral joins Ant.
• QueenAnts: Earn:
  • 10% of the activation fee paid by their recruited SoldierAnts.
  • 10% of the processing fees earned by their SoldierAnts for 1 year from the date each referred merchant or user joins Ant.

4.2. Payment Terms:

• Rewards are calculated automatically and paid in AntCoin via the Ant app.
• AntCoin can be converted to Naira at 1 Naira = 10 AntCoint, the rate set by Ant.

4.3. Payment Verification:
All payments are subject to Ant’s verification processes. Fraudulent or unverified referrals will not be rewarded.

4.4. Expiration of Rewards:
Rewards are limited to 1 year per referral, starting from the date each merchant/user joins Ant.

5. Termination and Inactivity

5.1. Inactivity Threshold:

• SoldierAnts: Must onboard at least 25 merchants/users within the first 3 months. Failure to meet this threshold may result in an adjusted rewards percentage from 30% to 20% or account suspension.
• QueenAnts: Must maintain at least 50 active SoldierAnts within the first 3 months to retain their status. Failure to meet this threshold may result in an adjusted status from QueenAnt to SoldierAnt or account suspension.

5.2. Termination for Violations:
Ant reserves the right to suspend or terminate accounts for:

• Fraudulent activity or policy violations.
• Failure to comply with Nigerian laws.

5.3. Impact of Termination:
Upon termination, all unclaimed rewards, including AntCoin, will be forfeited.

6. Program Modifications

6.1. Ant reserves the right to:

• Adjust the activation fee, transaction fees, or reward percentages with prior notice.
• Modify or terminate the Ant Colony program at its sole discretion.

6.2. Participants will be notified of any changes via the Ant app or email.

7. Intellectual Property

7.1. All materials, strategies, and assets related to Ant Colony are the exclusive property of Ant.

7.2. Participants may only use provided materials for Ant promotions and may not repurpose or resell them.

8. Content Usage Rights

8.1. Grant of Rights:
By participating in the Ant Colony Program, SoldierAnts and QueenAnts grant Ant the non-exclusive, royalty-free right to use, repost, promote, and distribute any content they create related to the Ant Colony Program or the Ant payment system.

8.2. Purpose of Use:
Ant may use such content for:

• Increasing the reach and engagement of the SoldierAnt’s or QueenAnt’s promotional efforts.
• Marketing and promoting the Ant Colony Program.
• Showcasing success stories and campaigns.

8.3. Attribution:
Ant will make reasonable efforts to credit the creator when reposting or using content, unless the content is adapted or edited for promotional purposes.

8.4. Ownership of Content:
This does not transfer ownership of the content to Ant. The original creator retains ownership of their work.

8.5. Restrictions:
Ant will not use any content in a way that misrepresents or harms the reputation of the creator.

9. Limitation of Liability

9.1. Ant is not responsible for:

• Any losses resulting from system failures, policy violations, or fraudulent activity.
• Legal issues arising from participants’ promotional activities.

9.2. Ant retains the right to audit referral activity and suspend accounts involved in suspicious activity.

10. Privacy

10.1. By participating in Ant Colony, you consent to the collection and use of your data for program operations, including tracking referrals and calculating rewards.

10.2. Ant will comply with applicable Nigerian data protection laws.

11. Dispute Resolution

11.1. Raising a Dispute:
Participants may contest any decisions made by Ant regarding the Ant Colony Program by contacting the official Ant Support Team.

11.2. Submission of Complaints:

• All complaints must be submitted in writing to the official Ant Colony Support email at antcolony@ant.africa.
• Complaints should include clear arguments and evidence supporting the participant’s case.

11.3. Grounds for Refusal:

• Ant reserves the right to decline complaints that lack sufficient evidence or pertain to issues outside the scope of the Ant Colony Program.

11.4. Resolution Timeline:

• Ant will review and respond to all valid complaints within 14 business days from the date of receipt.

11.5. Final Decision:

• Decisions made by Ant upon reviewing a dispute are final and binding.
• Ant reserves the right to dismiss communications that include profanity, false accusations, or inappropriate behavior and may suspend cooperation with participants responsible for such behavior.

12. Acceptance of Terms

By joining Ant Colony, you agree to these terms and conditions. Ant reserves the right to update these terms as needed.
